1. Terms and Conditions.

These Standard Terms and Conditions apply to all the affiliates ("Seller"), Buyer’s Credit Application, and Seller’s Quotation, if any, (collectively, "Agreement") govern any and all purchases made by Buyer from Seller and are incorporated herein by reference. This Agreement, and any other documents prepared by Seller for Buyer in connection with Buyer’s purchase of materials contain the entire understanding between the parties concerning the subject matter hereof, and there are no other agreements or understandings except as set forth herein. Any different or additional terms or conditions contained in any writing or instrument of Buyer, whether by purchase order or otherwise, are hereby objected to by Seller and shall have no effect on, and not become part of, this Agreement.

2. Technical Assistance.

In no event shall Seller bear any responsibility for claims arising from technical advice or assistance provided to Buyer. Advice by Seller is for Buyers guidance only and Buyer agrees to rely solely on its own architects, engineers or other technical experts.

3. Prices and Price Increases.

Prices for the materials are (i) subject to material availability at the time of delivery; (ii) shall remain firm until the date set forth on the Seller’s Quotation, if any, or if no such date is given, for a period of thirty (30) days after the date the order was accepted by Seller, the price was quoted by Seller or such shorter period as set forth in the Seller’s quote; thereafter prices are subject to change by Seller; and (iii) do not include Saturday, Sunday holiday, off-hour or overtime shipments, all of which are subject to additional charges. Prices are applicable only to the job quoted or orders accepted by Seller and are available only to the specific Buyer referred to therein, are for a standard mix design, if applicable, and are only for the quantities requested by Buyer at the time the prices were quoted. Seller reserves the right to (i) increase prices on any quote or accepted orders without notice to reflect any raw material cost increases or surcharges incurred by Seller and (ii) defer or cancel any quote or accepted orders in the event Seller becomes delayed or prevented from performing due to shortages or allocation of raw materials. In the event of a delay or cancellation resulting from shortages or allocations of raw materials, Seller shall not be liable to Buyer for any damages incurred by Buyer as a result of any such delay or cancellation.

4. Surcharges and Fees.

Prices quoted may not include additional charges Buyer may be responsible for. Such additional charges include, but are not limited to, charges for additives, accelerators, winterizers/summerset, water (hot or chilled), ice and stand-by, waiting time and delivery charges due to loads in amounts less than a full truckload. Such prices shall be charged at the rate of Seller’s then-current price list for additional charges, which is incorporated into these Terms and Conditions by reference as if fully set forth herein and which is available to Buyer upon request. Buyer acknowledges that surcharges and fees are to recoup Seller’s costs and achieve a return on investment.

5. Tests.

Seller reserves the right to levy an additional charge on Buyer for any nonstandard tests that Buyer may require to be performed on the materials sold to Buyer. Failure of Buyer to witness any tests shall be deemed a waiver by Buyer of its right to do so and of any right to require repetition of such tests, and Buyer shall be deemed to have accepted any such test results as sufficient to meet its specifications.

6. Payment and Interest.

Buyer shall make all payments due hereunder in accordance with the terms of this Agreement and as stated on Seller’s invoices or other notices of terms, without any right of setoff or retention and without regard to any agreement Buyer may have with other parties. If Buyer fails to pay in full the invoice amount when due, Buyer agrees to pay interest on the unpaid balance from the date when due until paid in full at the rate selected by Seller, not to exceed the lesser of 18% per annum or the highest lawful rate, specifically including post judgment. Buyer agrees to pay any and all costs and expenses incurred by Seller in collecting from Buyer any past due amounts, including but not limited to reasonable attorney fees, court costs and collection agency fees. Seller may suspend pending deliveries during any period when Buyer has overdue balances or evidence of a changed financial condition.

7. Liens.

Buyer agrees to timely provide in writing to Seller information regarding bonding companies, general contractors or owners for the purpose of filing preliminary notices and claims on payment bonds or mechanic’s and material supplier’s liens.

8. Delivery.

Seller’s responsibility for delivery shall cease FOB shipping point or, if Seller agrees to deliver FOB delivery site, at the curbside or frontage of the address for delivery. Where delivery of products is to an unattended site, Seller will not be liable for any loss or damage to products, property or for unsigned delivery tickets. In absence of a specific delivery date on the Quotation, Seller will commence delivery of the materials on a date and at a rate mutually agreed upon by both Seller and Buyer.

9. Default

If Buyer is in default under this Agreement or any of its contracts or obligations with Seller, Seller may at its option and without notice: (i) declare the entire unpaid balance owed by Buyer due and payable; (ii) postpone further deliveries until such default is remedied; (iii) terminate any and all obligations under any contract; and (iv) refuse further performance without any liability to Buyer.

10. Limited Warranty and Liability Disclaimer.

Seller warrants that the materials sold under this Agreement meet solely the description and specifications for the same set forth in the applicable Quotation, if any, and shall be free from defects in material and workmanship for a period of one (1) year from the date of delivery thereof. No other express warranties are made with respect to said materials. Acceptance by Buyer of the materials shall constitute confirmation by Buyer that the materials meet the description and specifications, if any, set forth in such applicable Quotation. The foregoing warranty is subject to standard manufacturing and color variations, efflorescence, tolerances and classifications or naturally occurring substances. Seller is not responsible for installation or defective conditions caused by installation. Buyer’s exclusive remedy for breach of this warranty shall be to require Seller, at Seller’s option, to refund the purchase price for the materials failing to comply, to repair or to provide Buyer with conforming replacements for any nonconforming materials. Seller shall not be responsible for any removal or installation costs. THE FOREGOING WARRANTY IS IN LIEU OF AND EXCLUDES ALL OTHER WRITTEN OR ORAL WARRANTIES OR CONTRACTUAL AGREEMENTS, WHETHER EXPRESS OR IMPLIED BY LAW OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR HABITABILITY. Buyer agrees that in specific consideration for receiving this warranty, it will indemnify and hold harmless Seller from any and all damages in connection with any statutory, contractual or warranty breach, negligence, strict liability, or other tortuous conduct by Seller. This Agreement may not be modified or amended except by a writing signed by both parties.

11. Delays.

If Seller is unable to complete delivery of any part of an order, Buyer shall accept such part of the order as Seller is able to deliver and Buyer shall pay for the part delivered pro rata at the same rate as the whole of the order agreed to be sold and on the same terms of payment. In the event Seller shall be delayed in or prevented from the performance of any act required under this Agreement, or it shall become commercially unreasonable to perform by reason of governmental allocations, priorities, restrictions or regulations now or hereafter in effect, storm, flood, fire, earthquake or other Acts of God, war, terrorism, riot, insurrection or other civil disturbance, strikes, lockouts, shortages of materials, labor, raw materials, fuel, power or production facilities, breakdown of equipment, transportation shortages, changes in market conditions or other contingencies beyond Seller’s reasonable control whether of a similar or dissimilar nature to the foregoing, Seller shall not be liable to Buyer for any damages incurred by Buyer as a result of any such delay or failure.

12. Claims.

Buyer agrees that all claims against Seller are waived unless presented to Seller in writing within one week from the date of delivery of the materials. Seller shall have thirty days from receipt to inspect and correct a defect if such claim is allowed. Buyer further agrees that in the event that Buyer disagrees with Seller’s decision about whether to allow the claim that the Buyer’s remedy is to formally adjudicate the claim, but the Buyer further agrees that Seller’s invoices for all materials supplied shall be paid in the interim. No claim shall be allowed after the materials purchased hereunder are incorporated, modified or processed by Buyer in any manner. SELLER’S LIABILITY ON ANY CLAIM FOR LOSS OR DAMAGE SHALL NOT EXCEED THE PRICE OF THE MATERIALS ACTUALLY RECEIVED FROM BUYER BY SELLER WITH REGARD TO WHICH SUCH CLAIM FOR LOSS OR DAMAGE IS MADE.

13. Waiver.

Seller may, at its option, permit Buyer to remedy any default under this Agreement without waiving the default so remedied or any other default by Buyer. Buyer waives notice of default of this Agreement and waives presentment, demand, protest, and notice of dishonor as to any instrument issued or delivered to Seller.

14. Venue.

This Agreement will be governed by the applicable state and federal laws without giving effect to conflict of laws principles. The Buyer agrees that any legal actions and proceedings brought for the breach or the enforcement of this Agreement will lie in the state and county in this state of delivery. Buyer consents and submits to the jurisdiction and venue of any state, county or federal court located within that county. As a material inducement to Seller to enter into this Agreement, Buyer waives the right to trial by jury in any proceeding arising out of or related to this Agreement.

15. Notice.

Any notice sent to Seller shall be in writing and sent by Certified Mail, postage prepaid, to the 10100 Katy Freeway, Suite 300, Houston, TX 77043, Attn: CEMEX Customer Care.

16. Severability

If any term, provision, covenant or condition of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions shall remain in full force and effect and shall in no way be affected, impaired or invalidated. The parties agree that each term and provision of this Agreement shall be construed according to its fair meaning and not strictly for or against any Party.

17. Offset and/or Setoff.

Seller may exercise the right of set-off under this Agreement as to any sums owed by Buyer and/or its affiliates under any other contract or agreement with Seller and/or its affiliates.

18. Remedies Cumulative

The duties and obligations imposed by this Agreement and the rights and remedies available under this Agreement are to be in addition to, and not a limitation of rights and remedies at law or in equity.

19. Miscellaneous.

Time is of the essence. Buyer consents to Seller sending information to Buyer regarding Seller’s products and prices at any time by fax to any fax number provided by Buyer, other electronic means or otherwise. A facsimile copy or electronic transmission will be treated as an original. Buyer shall not assign the Agreement or any interest herein without the prior written consent of Seller, and any attempted assignment, whether by operation of law or otherwise, shall be void without such prior written consent.

20. Authorization for Credit Review

Buyer consents to Seller’s use of a non-business consumer credit report on the Buyer in order to further evaluate the credit worthiness of the Buyer in connection with the extension of business credit as contemplated hereby. Buyer authorizes Seller to utilize a consumer credit report from time to time in connection with the extension or continuation of business credit. Buyer hereby knowingly consents to the use of such credit report consistent with the Federal Fair Credit Reporting Act as contained in 15 USC @ 1681 et seq.

21. Representations.

Buyer represents to Seller that it is solvent and that any financial information provided reflects the present financial condition of the Buyer. If Buyer is not a corporation or limited liability entity, Buyer acknowledges that Seller is relying on the credit worthiness and financial ability of the owner(s) of Buyer. Each owner shall be joint and severally liable for all indebtedness of Buyer to Seller under the Agreement. Buyer warrants that all information supplied to Seller is accurate and complete. Each representation and the information contained in a Credit Application, if any, is material and given to induce Seller to provide credit. Buyer will notify Seller by certified mail, within forty-eight (48) hours after any material change in Buyer’s financial or ownership status.

CEMEX, S.A.B. de C.V. y sus empresas filiales, subsidiarias y relacionadas, afiliadas y cualquiera que esté bajo la administración directa o indirecta de CEMEX, S.A.B. de C.V. (en adelante "CEMEX"), se reserva el derecho de actualizar o revisar estos Términos Generales sin darle previo aviso; revise estos Términos Generales periódicamente para enterarse de los cambios. El uso continuo del Portal después de la publicación de algún cambio en estos Términos Generales indica que usted acepta dichos cambios.

1. OBJETO

El Portal fue diseñado para permitir al Usuario, entre otras cosas, hacer pedidos de concreto premezclado, visualizar la ubicación de la unidad despachadora en un mapa, comunicarse con CEMEX para solicitar ajustes al pedido o soporte y recibir notificaciones, pagar los pedidos (en adelante los “Servicios”). Mediante el uso del Portal, CEMEX ofrece y facilita al Usuario el acceso y la utilización de los Servicios, puestos a disposición del Usuario por CEMEX o por terceros proveedores de servicios contratados por CEMEX. La prestación de los Servicios por parte de CEMEX estará sujeta a lo estipulado en los presentes Términos Generales y a los Términos y Condiciones de Compra. Los terceros proveedores contratados por CEMEX pueden requerir al Usuario que acepte términos y condiciones de uso diferentes a los de CEMEX. Es responsabilidad del Usuario aceptar dichos términos y condiciones de uso de los terceros proveedores. CEMEX no asume responsabilidad alguna relacionada con la aceptación o rechazo por parte del Usuario de los términos y condiciones de los terceros proveedores.

2. USO DEL USUARIO Y CONTRASEÑA

Para el acceso al Portal el Usuario podrá generar una cuenta (en adelante la "Cuenta"), la cual consistirá en una contraseña (en adelante la "Contraseña") y una identificación de usuario (en adelante "Nombre de Usuario"). El Usuario se compromete a hacer un uso diligente y a mantener en secreto la Contraseña y Nombre de Usuario generado para acceder a la Aplicación y los Servicios. El Usuario responderá de los gastos y de los daños y perjuicios ocasionados por la utilización de la Aplicación y los Servicios por cualquier tercero que emplee al efecto su Contraseña y Nombre de Usuario debido a la utilización no diligente o a la pérdida de los mismos por el Usuario. El Usuario se obliga a lo siguiente: (a) Notificar inmediatamente a CEMEX del uso indebido y no autorizado de su Cuenta, Contraseña, y/o Nombre de Usuario; (b) Asegurarse que una vez terminada cualquier sesión en el Portal, saldrá de su Cuenta.

El Usuario es responsable de mantener la confidencialidad de los datos de su Cuenta y su Contraseña, así como de restringir el acceso a su equipo móvil, y el Usuario asume la responsabilidad de cualquier actividad realizada desde su Cuenta o utilizando su Contraseña.

CEMEX se reserva el derecho de dar de baja cuentas, remover o editar contenido, cancelar órdenes en caso de violación a los presentes Términos Generales o cualesquiera otra políticas, términos y condiciones de CEMEX, derechos de terceros o comisión de un delito o cualquier conducta que dañe la reputación de CEMEX o la experiencia al cliente.

El Usuario también podrá navegar en el Portal y hacer uso de los Servicios como usuario "invitado".

3. PROPIEDAD INTELECTUAL

El Usuario acepta que el contenido, que incluye, sin limitarse a, texto, datos, software, música, sonido, fotografías, videos, gráficos u otros materiales a los que el Usuario tiene acceso al usar el Portal, está protegido por derechos de autor, marcas comerciales, marcas de servicio, patentes, secretos industriales, derechos de datos, publicidad o derechos de privacidad u otros derechos y leyes de propiedad intelectual. A menos que se le autorice expresamente, no debe vender, alquilar, modificar, copiar, volver a publicar, transferir o descargar electrónicamente, exhibir, divulgar, transmitir, ni distribuir de ninguna manera el contenido del Portal.

4. EXACTITUD DE LA INFORMACIÓN

Toda la información, datos, documentos, páginas, imágenes y otros materiales se proporcionan únicamente con fines informativos. Se proporcionan "tal cual" sin garantías, promesas o representaciones de ningún tipo, expresas o implícitas, en cuanto a su naturaleza, estándar, exactitud o de otra manera o a la idoneidad de la información a sus circunstancias particulares. CEMEX no será responsable por ninguna pérdida o daño de cualquier naturaleza (directa, indirecta, consecuente u otra), ya sea que surja en contrato, agravio o de otra manera, que pueda surgir como resultado de su uso de (o incapacidad de usar) el Portal, o de su uso de (o falta de uso) la información proporcionada en este sitio. La información proporcionada en el Portal puede incluir información derivada de varias terceras partes. CEMEX no acepta ninguna responsabilidad o responsabilidad por la exactitud, integridad, legalidad, fiabilidad o corrección de cualquier información contenida en esta solicitud, incluyendo la información proporcionada por terceros.

5. LIMITACIONES A LA RESPONSABILIDAD

CEMEX no será responsable, en ningún caso, por cualesquier daños directos, especiales, incidentales, indirectos, o consecuenciales (incluyendo sin limitación alguna, daños por interrupción de negocios, pérdida de datos, o cualesquier otra pérdida pecuniaria) que en cualquier forma se deriven o se relacionen con (i) el uso o ejecución del Portal y sus Servicios; (ii) el retraso o falta de disponibilidad del Portal o cualquiera de los Servicios; (iii) cualesquier información o gráficos contenidos o publicados en o a través del Portal; (iv) la actualización o falta de actualización de la información por parte del Usuario, así como de la veracidad de la información proporcionada por el Usuario; (v) que la información haya sido alterada o modificada, en todo o en parte, por el Usuario luego de que ésta haya sido proporcionada por estos a través del Portal; y (vi) cualquier otro aspecto o característica de la información contenida o publicada en el Portal o a través de las ligas que eventualmente se incluyan en el mismo, en caso de que aplique.

CEMEX no asume responsabilidad alguna por la forma en que el Usuario emplee la información contenida o publicada en o a través del Portal y de los Servicios. Se recomienda al Usuario que verifique esta información por sus propios medios al momento de tomar una decisión basada en ésta. El Usuario en todos los casos deberá acudir siempre ante un asesor técnico o administrativo, según sea el caso.

No obstante que la información del Portal se considera exacta, es posible que contenga inexactitudes técnicas o errores tipográficos. CEMEX, según sea el caso, se esforzará por actualizar el contenido del Portal de forma constante, sin estar obligado a ello.

CEMEX no garantiza que el Portal satisfaga los requerimientos del Usuario, o que el Portal y los Servicios se mantengan siempre ininterrumpidos, en tiempo, seguros o libres de errores.

CEMEX no será responsable en ningún caso de afectación alguna, incluyendo sin límite, daños, pérdidas, gastos directos, indirectos, inherentes, consecuentes, especiales, ejemplares, punitivos o emergentes, incluidos el lucro cesante, la pérdida de datos, la lesión personal o el daño a la propiedad, ni de perjuicios relativos, o en relación con, o de otro modo derivados de cualquier uso del Portal o la incapacidad del Usuario para acceder o utilizar el Portal, o en relación con cualquier falla en el rendimiento, error, omisión, interrupción, defecto, demora en la operación o transmisión, falla de sistema o línea.

6. INDEMNIZACIÓN

El Usuario está de acuerdo en indemnizar a CEMEX, de cualquier acción, demanda o reclamación, (incluso de honorarios de abogados y costas judiciales) derivadas de cualesquier incumplimiento por parte del Usuario a los presentes Términos Generales incluyendo, sin limitación alguna las derivadas: (i) por cualquier aspecto relativo al uso indebido del Portal y los Servicios, de la información contenida en o a través del Portal; (ii) por injurias, difamación o cualesquier otra conducta violatoria del Usuario en uso del Portal; (iii) por violación a las leyes o tratados internacionales relativos a los derechos de autor o propiedad intelectual contenidos o disponibles en o a través del Portal; ó (iv) por el uso que del Portal y sus Servicios realice cualquier persona no autorizada que acceda al Portal, utilizando el Nombre de Usuario y Contraseña del Usuario.

7. USO ILEGAL O PROHIBIDO

El uso del Portal con fines ilegales o no autorizados por los presentes Términos Generales está estrictamente prohibido.

8. COOKIES

Una cookie es cualquier cadena de texto que se instala en los medios de almacenamiento del dispositivo electrónico del Usuario y cada vez que el Usuario entra al Portal envía información que se utilizará para identificarlo. El Usuario acepta que CEMEX, como administrador del Portal, a través del Portal, instale automáticamente una Cookie en su computadora.

9. ACCESO A LA RED Y DISPOSITIVOS

El Usuario es responsable de obtener el acceso a la red de datos necesario para utilizar el Portal. Las tarifas y tasas de datos y mensajería de su red móvil pueden aplicarse si accede o utiliza el Portal desde un dispositivo móvil. CEMEX no garantiza que el Portal, o cualquier parte del mismo, funcione en cualquier hardware o dispositivos en particular. Además, el Portal y los Servicios pueden estar sujetos a malfuncionamientos y retrasos inherentes al uso de Internet y comunicaciones electrónicas.

10. SOBRE EL USO DEL PORTAL

Al hacer uso del Portal, el Usuario acepta que CEMEX puede usar su información con el propósito de ofrecerle servicios personalizados, así como generar reportes respecto a las actividades que se realizan a través del Portal durante el tiempo de vida del Portal, lo anterior bajo el estricto compromiso de mantener confidencialidad en los datos recopilados.

CEMEX se deslinda de cualquier responsabilidad por cualquier pérdida en el dispositivo que resulte del uso del Portal. Al usar, acceder, descargar, instalar, obtener o brindar información a través del Portal, se considerará que el Usuario ha leído y aceptado estos Términos Generales (incluyendo nuestra Política de Privacidad). El uso del Portal estará sujeto a los Términos Generales.

El Usuario debe suspender el uso del Portal inmediatamente si no está de acuerdo o no acepta los Términos Generales. CEMEX se reserva el derecho de eliminar o prohibir a cualquier Usuario la utilización del Portal a su sola discreción.

11. ENVÍO DE CONTENIDOS

En caso de que un Usuario envíe imágenes digitales u otro contenido, incluidas todas las fotografías, ilustraciones, gráficos y texto (en forma conjunta, "Materiales") a CEMEX a través del Portal, tendrán validez los siguientes términos:

El Usuario solo podrá enviar a CEMEX, a través del Portal, Materiales de los cuales posea todos los derechos de propiedad intelectual. Dicho de otro modo, si un Usuario envía una imagen digital a CEMEX, el Usuario debe poseer todos los derechos sobre dicha imagen o el Usuario debe tener la autorización de la persona propietaria de tales derechos. Los menores de edad no pueden enviar Materiales a CEMEX a través del Portal.

El Usuario cede a CEMEX los derechos y licencias mundiales, sin exclusividad, libres de regalías y a perpetuidad para (a) reproducir, distribuir, transmitir, representar y exhibir públicamente los Materiales, total o parcialmente, de cualquier manera y en cualquier medio para transmitir información, existente en la actualidad o que se cree en el futuro ("Medios"), (b) modificar, adaptar, traducir y crear trabajos derivados de los Materiales, total o parcialmente, de cualquier manera y en cualesquiera Medios, y (c) otorgar sublicencias por los derechos antedichos, total o parcialmente, a terceros con o sin canon de concesión.

12. RECOPILACIÓN DE INFORMACIÓN

Cuando el Usuario genere una Cuenta y Contraseña, el Usuario solicite información a través del Portal, se suscriba a un servicio, participe en una encuesta, publique una calificación o reseña, publique una pregunta o respuesta, publique un currículum, cargue contenidos o envíe datos de manera activa a través del Portal, CEMEX recopilará dichos datos, incluidos, entre otros, Nombre de Usuario, Contraseña, nombre y apellido, dirección de correo electrónico, número de teléfono (incluido el número de teléfono móvil), dirección postal, género, ocupación, intereses, mensajes que envíe a través del Portal y cualquier otros datos incluidos en un perfil.

Además, como parte de la operación estándar del Portal. CEMEX puede recopilar y analizar automáticamente información de la computadora o dispositivo móvil del Usuario, incluidos, entre otros, tipo de navegador, sistema operativo, dirección IP y el nombre de dominio del que accedió al Portal, y si está accediendo al Portal con un dispositivo móvil, el tipo de dispositivo móvil. Además, CEMEX puede registrar y analizar automáticamente las acciones realizadas en el Portal, incluidas, entre otras, la fecha y el horario de uso, los clics, las visitas al Portal web, la cantidad de tiempo que pasa en cada página y las consultas de búsqueda. CEMEX se reserva el derecho de hacer coincidir la dirección de IP del Usuario (o cualquier otra información) con otra información sobre el Usuario de cualquier manera permitida por la ley aplicable. CEMEX almacenará esta información en sus equipos o en los equipos de terceros con los que CEMEX tiene relación. Si el Usuario crea una Cuenta, la información se puede recopilar en la dirección de correo electrónico de la Cuenta.

Si el Usuario accede o utiliza el Portal en su teléfono móvil u otro dispositivo móvil, incluidas las tabletas, CEMEX podrá recolectar los identificadores de dispositivos móviles, incluidas la Dirección MAC y la Dirección IP. CEMEX puede crear y asignar a su dispositivo un identificador que sea similar a un número de cuenta. CEMEX puede recopilar el nombre que ha asociado con su dispositivo, tipo de dispositivo, número de teléfono, país y cualquier otra información que elija proporcionar, como Nombre de Usuario, geolocalización o dirección de correo electrónico.

13. NOTIFICACIONES

El Usuario expresamente autoriza a CEMEX para que CEMEX, sus filiales o "prestadores de servicios" con los cuales tiene celebrados Convenios de Confidencialidad y Medidas de Seguridad, pueda contactarlo y enviarle información, publicidad, propagandas comerciales propias de CEMEX y sus filiales, incluyendo notificaciones de las operaciones realizadas a través del Portal o al correo electrónico autorizado y registrado del Usuario.

CEMEX no estará obligado a realizar notificación alguna ya sea por caso fortuito o fuerza mayor, en caso de que el Usuario no autorice recibirlas o en caso de que el Usuario desactive la opción para recibir dichas notificaciones, o por cualquier causa ajena al control de CEMEX. En caso de que el Usuario no autorice recibir las notificaciones, o bien desactive la opción para recibir las notificaciones, el Usuario absuelve de cualquier responsabilidad a CEMEX por la falta de notificación.

14. SERVICIOS Y CONTENIDO DE TERCEROS

Los Servicios pueden estar disponibles en conexión con servicios de terceros y contenidos que no controla CEMEX. El Usuario reconoce que diferentes términos de uso y políticas de privacidad pueden aplicarse al uso de dichos servicios o contenido de terceros. El Portal y las aplicaciones pueden contener enlaces a sitios web que CEMEX no opera. CEMEX no es responsable por el contenido de estos sitios web, y el Usuario debe dirigir cualquier preocupación con respecto a estos sitios web a sus respectivos administradores del sitio o webmasters. Además, Apple, Inc., Google, Inc. y Microsoft Corporation serán los terceros beneficiarios de este acuerdo si accede al Portal utilizando aplicaciones desarrolladas para los dispositivos iOS, Android o Microsoft Windows Mobile, respectivamente. Estos terceros beneficiarios no son partes en este Acuerdo y no son responsables de la provisión o el apoyo de los Servicios. Su acceso a los servicios que utilizan estos dispositivos está sujeto a los términos establecidos en los términos de servicio del beneficiario de la tercera parte aplicable.

15. VIGENCIA Y DERECHO DE TERMINACIÓN

El presente Acuerdo tendrá una vigencia indefinida. No obstante lo anterior el Usuario acepta que CEMEX podrá cancelar el Nombre de Usuario y Contraseña de cualquier Usuario por el mal uso o no uso del Portal, por violaciones a los presentes Términos Generales o por cualquier otro motivo, a discreción de CEMEX en cualquier momento, sin aviso previo.

16. DERECHO DE MODIFICAR

CEMEX, como administrador del Portal, se reserva el derecho a modificar unilateralmente, en cualquier momento y sin aviso previo, la presentación y configuración del Portal, así como también se reserva el derecho a modificar o eliminar, en cualquier momento y sin previo aviso, las condiciones requeridas para acceder y/o utilizar el Portal.

17. SUSPENSIÓN DE LOS SERVICIOS

CEMEX, como administrador del Portal, tiene en todo momento sin responsabilidad alguna, la facultad de suspender temporal o definitivamente el Portal.

18. LEY APLICABLE Y JURISDICCIÓN

El Usuario, al hacer uso del Portal, acepta de manera expresa someterse a la jurisdicción de los tribunales con residencia en la ciudad de Monterrey, Estado de Nuevo León, México, así como a las leyes sustantivas y procedimentales aplicables para el caso concreto vigentes en dicho Estado, renunciando expresamente a cualquier otra jurisdicción que por motivo de su nacionalidad, residencia o lugar de negocios pudiese corresponderle ahora o en el futuro, para resolver cualquier controversia que se suscite con motivo de la interpretación, cumplimiento o ejecución de lo estipulado en los presentes Términos Generales.
